These Terms & Conditions (“Terms”) govern your access to and use of the Vidzashop website, marketplace, applications, services and related platforms (collectively, the “Platform”).
By accessing, registering for, browsing, listing equipment, contacting another user, purchasing, selling, or otherwise using Vidzashop, you agree to be bound by these Terms and our Privacy Policy.

Vidzashop is a digital marketplace that connects buyers and sellers of heavy-duty, industrial, construction, mining, material-handling, mobile, specialized and related equipment.
Unless expressly stated otherwise, Vidzashop is not the owner, manufacturer, distributor or seller of equipment listed by third-party sellers.
Vidzashop provides the technology and marketplace through which buyers and sellers can discover equipment and communicate regarding potential transactions.

Sellers must not list stolen, counterfeit, illegally obtained, prohibited or unlawfully restricted equipment.
Vidzashop may review, reject, edit, remove or suspend listings that it reasonably believes:
Vidzashop does not guarantee that every listing is independently inspected, verified or authenticated.
Buyers are responsible for conducting appropriate due diligence before completing a transaction.
Buyers are responsible for evaluating equipment before purchasing.
Where appropriate, buyers should:
Vidzashop encourages buyers to exercise appropriate caution, particularly when purchasing high-value equipment.
Unless otherwise expressly stated by Vidzashop, a transaction for equipment is between the buyer and seller.
The seller is responsible for fulfilling the transaction, including delivery, documentation, title transfer, warranties and representations made to the buyer.
Vidzashop does not guarantee that a buyer or seller will complete a transaction.
Vidzashop is not responsible for a seller’s failure to deliver equipment or a buyer’s failure to pay, except to the extent required by applicable law or where Vidzashop expressly assumes such responsibility.
Prices displayed on Vidzashop may be set by sellers.

The applicable transaction terms should clearly identify the total amount payable where required by law.
Vidzashop may charge sellers or buyers applicable platform, listing, advertising, subscription, transaction or other fees as disclosed at the time the service is purchased.
Unless expressly stated otherwise, the seller is responsible for arranging delivery or making the equipment available for collection.
The parties should agree on:
For international transactions, buyers and sellers are responsible for complying with applicable import, export, customs, tax and transportation requirements.
For high-value or used equipment, buyers are encouraged to inspect the equipment before completing the transaction.
Unless otherwise agreed between the parties, Vidzashop does not conduct physical inspections of equipment.
Any inspection, certification or verification service offered by Vidzashop will be subject to separate terms.
Unless Vidzashop is expressly identified as the seller, returns, refunds and cancellations are generally governed by the agreement between the buyer and seller and applicable law.
Sellers must clearly disclose their applicable return, refund and cancellation policies where required.
Nothing in these Terms is intended to remove or limit any mandatory consumer rights that cannot legally be excluded.
Unless expressly provided by Vidzashop in writing, Vidzashop does not provide warranties concerning equipment sold by third-party sellers.
Any manufacturer’s warranty, seller warranty or other warranty applicable to equipment must be clearly identified by the seller.
Nothing in these Terms excludes warranties or statutory protections that cannot legally be excluded.
Vidzashop provides a marketplace and technology platform.
To the maximum extent permitted by applicable law, Vidzashop does not guarantee:

Vidzashop may remove content, suspend accounts or terminate access where it reasonably believes these Terms have been violated.
To protect users and the integrity of the marketplace, Vidzashop may request additional information or documentation from buyers or sellers. This may include:
Vidzashop may suspend or restrict transactions while conducting verification.
Users may submit photographs, descriptions, documents, reviews, comments and other materials (“User Content”).
You remain responsible for your User Content and represent that you have the necessary rights to submit it.
By submitting User Content, you grant Vidzashop a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, distribute and promote that content for purposes related to operating and marketing the Platform.
Vidzashop and its licensors retain all rights in the Vidzashop name, logo, website, software, designs, graphics, trademarks, content and other intellectual property belonging to Vidzashop.
Users may not reproduce, modify, distribute, sell or commercially exploit Vidzashop’s intellectual property without written permission.
Vidzashop may collect, use, store and disclose personal information in accordance with its Privacy Policy and applicable privacy laws.
By using Vidzashop, you may receive service-related communications such as account notifications, transaction information, security alerts and important Platform updates.
Where required, promotional electronic communications will be sent in accordance with applicable anti-spam legislation and consent requirements.
Vidzashop may contain links to third-party websites, payment providers, shipping companies, inspection companies or other services.
Vidzashop is not responsible for the content, availability, security, policies or practices of third-party websites or services.
Your use of third-party services may be subject to separate terms and conditions.
To the maximum extent permitted by applicable law, Vidzashop and its directors, officers, employees, affiliates, contractors and service providers will not be liable for indirect, incidental, special, consequential or punitive damages arising from your use of the Platform or transactions conducted through the Platform.
Nothing in these Terms limits liability where such limitation is prohibited by law.
To the extent permitted by law, you agree to indemnify and hold harmless Vidzashop and its directors, officers, employees, affiliates and service providers from claims, losses, liabilities, damages, costs and expenses arising from:

Termination does not eliminate obligations that arose before termination.
Users should first attempt to resolve disputes directly with the other party.
Where Vidzashop is directly involved in a dispute, the parties should attempt to resolve the matter through good-faith discussions before commencing formal proceedings, subject to applicable law.
Nothing in these Terms prevents a consumer from exercising rights or remedies that cannot legally be waived.
Unless otherwise required by applicable law, these Terms are governed by the laws of the Territory of transaction.
Any mandatory consumer-protection rights applicable to a user will continue to apply notwithstanding this provision.
Vidzashop may update these Terms from time to time.
Updated Terms will be posted on the Platform with an updated effective date.
Your continued use of Vidzashop after the updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect to the extent permitted by law.
These Terms, together with the Vidzashop Privacy Policy and any additional terms applicable to specific services, constitute the agreement governing your use of the Platform, except where a separate written agreement applies.
